Head of M&A (M/F)
The Head of M&A (M/F) will be responsible for all the process of Deal orgination and Deal execution and will report to the CFO, high exposure to a global private equity deal team and the local CEO in Verona province.
Our Client is a fast-growing company with international structure, managerially organised with the presence of a global private equity firm. It operates in the chemical sector and produces composite material products for the B2B sector. The workplace is located in the province of Verona.
The Head of M&A (M/F) will be responsible for:
* Deal origination
* Developing strategic guidance and recommendations to senior management and the board of directors on M&A Opportunities and Risks
* Providing CEO support in identifying and engaging potential targets
* Building and maintaining relationships with external partners
* Deal execution: end-to-end process management including coordination of advisors and internal stakeholders
* Leading transactions' negotiation and structuring (e.g., valuation and deal terms)
* Managing due diligence efforts to assess the financial and operational viability of potential targets (e.g., Commercial, Financial, Legal, HR and Tax)
* Holding Q&A with partners/targets' Management teams
* Financing the deal jointly with Private Equity deal team & sponsor banks
* Collaborating closely with cross-functional teams, including Finance, Legal, and Operations to both identify and capture synergies
* Preparing reports for internal approval
* Developing integration plans
* Direct report to the CFO, high exposure to Private Equity firm deal team and CEO
* Monitoring market trends, competitive landscape, and industry developments
* Leading one-off strategic projects that contribute to the company's growth and development (e.g., strategy reviews, long-term planning, etc.)
The Head of M&A (M/F) is required to have:
* Transaction advisory track-record: Big 4 Transaction Services to Manager level or Investment Banking to Associate level (Buy side M&A in industrial B2B sectors)
* Extensive knowledge of the M&A process, including due diligence, valuation, and negotiation
* Ability to thrive in a fast-paced, dynamic environment, work independently and take initiative
* Strong analytical and financial modeling skills
* Excellent communication, presentation, and negotiation skills
* English professional proficiency
