We are seeking a qualified Corporate Law Manager to oversee the corporate affairs of our Group's parent company, including compliance with Milan Stock Exchange regulations, organizing and supporting board and general assembly meetings, and ensuring alignment with both Italian and Dutch legal requirements. The role will also involve managing corporate governance and corporate finance activities, as well as coordinating all routine and extraordinary corporate matters for both the parent company and its Italian affiliates.
KEY ACCOUNTABILITIES
Prepare draft materials (resolutions, minutes, timetables, calendars, etc) for the Group parent company’s and Italian affiliates’ board, committees and general assembly meetings, manage proxies, fulfill filing requirements;
Ensure compliance of the Group parent company with corporate requirements for listed entities in Italy (Milan Stock Exchange, STAR segment), consistent with its nature of Dutch-based entity;
Manage legal matters related to stock exchange regulations, disclosure requirements, and corporate governance best practices for a listed company;
Coordinate withlocal incumbents the management of all the group ordinary and extraordinary corporate activities, including corporate governance and corporate finance related activities;
Provide legal guidance on corporate governance, corporate structuring, ensuring alignment with both local and international regulations;
Fulfill any other corporate requirement related to the Group’s parent company.
MINIMUM REQUIREMENTS
Master’s degree in Law, professional certification (Admission to Italian Bar Association) is a plus;
3-5 years of progressive experience in Corporate legal roles within publicly listed companies;
Proven experience as Company Secretary, Corporate Manager, Head of Corporate Affairs, or Corporate Affairs Director of a listed company, ideally with previous exposure to Dutch corporate law requirements;
Strong knowledge of Italian law for listed companies and related regulatory frameworks;
Ability to draft and review corporate materials;
Strong communication skills:
excellent written and spoken English is a must;
Integrity and adherence to professional ethics, team player attitude, and great attention to detail;
Ability to workin a fast-paced, international environment;
Willing to joina multicultural and multinational Group.
